Terms & Conditions Agreement

1. Scope of Work

1.1 Completed Deliverables

The Service Provider has completed and delivered the following pursuant to the issued Work Order:

• Design and development of the official Sainik School Purulia website.
• Configuration and management of web hosting, CDN services, and deployment.
• Technical support for the website, including monitoring and routine maintenance during the contract term.
• Website UI and CMS tools have been reviewed and officially approved by Sainik School Purulia.

1.2 Ongoing Deliverables (to be completed within contract period)

The Service Provider will deliver the following modules prior to the contract expiry:

• Alumni Registration Portal: registration, verification workflows, secure storage and administrative exports.
• Job Hiring Form with Payment Integration: application form with payment gateway support, confirmation receipts and applicant tracking.

1.3 Additional (Complimentary) Deliverable

The Service Provider has developed exam.sainikschoolpurulia.com (a mock UPSC platform) as a goodwill contribution. This platform is outside the scope of the Work Order and is provided on the terms described in Section 4.

2. Service Provider’s Obligations

Hostomo.com agrees to perform the services set out in the Work Order in a professional and timely manner. Specifically, the Service Provider shall:

1. Deliver contracted services using reasonable skill, care and industry best practices.
2. Provide hosting, CDN and domain support for the school website for the contract term of one year, unless otherwise terminated in accordance with this Agreement.
3. Maintain confidentiality and security of school and user data in accordance with Section 6.
4. Provide reasonable technical support for maintenance issues during working hours; critical incidents will be addressed with priority. Support refers strictly to technical support and does not include day‑to‑day content updates, event posting or administrative content management.
5. Deliver the alumni portal and hiring form with payment integration fully tested and functional prior to contract expiry.

3. Client’s Obligations

Sainik School Purulia shall cooperate and provide timely assistance to enable delivery of services. The Client's responsibilities include:

1. Providing content, approvals, login credentials and any required materials promptly.
2. Making payments in accordance with the Work Order and agreed payment schedule.
3. Notifying the Service Provider promptly of defects, outages or security incidents.
4. Not granting third-party access to hosting servers, the codebase or configuration without prior written consent from the Service Provider.
5. Deciding on renewal/extension of hosting or maintenance services before contract expiration if continued support is required.

4. Intellectual Property

The parties agree the following regarding ownership and usage rights:

1. All source code, system configuration and deliverables created by the Service Provider remain the property of Hostomo.com until full payment for the contracted work is received.
2. Upon receipt of full payment, ownership of the website's content (text, images and custom content created for the Client) shall transfer to Sainik School Purulia, excluding proprietary frameworks, developer tools, third-party licensed components, and hosting architecture which remain the Service Provider’s property.
3. The goodwill project exam.sainikschoolpurulia.com shall remain the intellectual property of Hostomo.com. Hostomo.com grants Sainik School Purulia perpetual, non-exclusive educational access to the platform unless otherwise agreed in writing.

5. Limitations of Liability

To the fullest extent permitted by law, the Service Provider's liability is limited as follows:

1. The Service Provider shall not be liable for:
   • Losses resulting from user misuse, unauthorized access, or third-party interference;
   • Downtime or outages caused by third-party hosting providers, CDN vendors, internet service providers or external APIs;
   • Indirect, incidental, special or consequential losses.
2. Backup and data restoration are provided only as per the agreed hosting configuration. Custom backup or archival services require a separate agreement.
3. Issues arising from third-party payment gateways, banking partners or external APIs are outside the Service Provider’s control and liability.

6. Confidentiality & Data Protection

Both parties commit to maintaining confidentiality of all non-public information exchanged under this Agreement. The Service Provider will implement reasonable technical and organisational measures, including SSL, access control and secure hosting practices, to protect personal and sensitive information. Any data breach must be reported promptly to the other party.

7. Termination

1. Either party may terminate this Agreement for material breach if the breach is not remedied within thirty (30) days of written notice.
2. All outstanding fees and amounts due up to the date of termination shall become immediately payable.
3. Upon termination, hosting and maintenance services will cease unless otherwise agreed; the Service Provider may suspend access to hosted systems until outstanding dues are cleared.

8. Renewal & Extension

This Agreement is valid for one (1) year from the Effective Date. Any renewal or extension of hosting, CDN, maintenance or development services must be agreed in writing prior to expiry and may be subject to revised terms and fees.

9. Dispute Resolution

Disputes will be resolved amicably through negotiation. If unresolved, jurisdiction lies with the Purulia District Court, West Bengal.

10. Acceptance

By signing below, both parties confirm they have read, understood and agreed to this Agreement.
